Terms of Service

By accessing or using GatherPro you confirm that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and agree to be bound by these Terms and our Privacy Policy.

If you are using GatherPro on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

GatherPro is a multi-tenant Software-as-a-Service (SaaS) platform for event management. Features include:

• Event creation, publishing, and registration page hosting
• Attendee RSVP management and waitlist handling
• QR code generation and on-site check-in scanning
• Badge design and on-demand badge printing
• Ticket tier configuration and Stripe-powered payment collection
• Walk-in registration and real-time attendee dashboards

Each approved organizer ('Tenant') receives a dedicated subdomain (e.g. acme.gatherpro.events) and a self-service portal at their subdomain's /portal path.

Application & Approval

Access to the GatherPro platform requires a completed application and explicit approval by Solution Forest Ltd. We reserve the right to accept or reject applications at our sole discretion and without obligation to provide reasons.

Account Responsibility

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorised access.

Organizer Responsibility for Attendee Data

As a Tenant you are the data controller for any personal data collected from your attendees. You must provide attendees with your own privacy notice and obtain any necessary consents in accordance with applicable data protection law. GatherPro acts only as your data processor.

You agree not to use GatherPro to:

• Violate any applicable law or regulation
• Collect registration data for events that do not exist or are misrepresented
• Send unsolicited commercial messages (spam) to attendees
• Upload or transmit malicious code, viruses, or disruptive content
• Attempt to gain unauthorised access to other tenants' data or infrastructure
• Engage in any activity that imposes an unreasonable load on our infrastructure
• Resell or sublicense access to the GatherPro platform without written permission

We may suspend or terminate accounts found in violation of these restrictions without prior notice.

Platform Subscription Fees

Organizer accounts are subject to subscription fees as agreed at the time of account approval. Fees are billed in advance and are non-refundable except where required by law. Failure to pay may result in account suspension.

Ticket Payments & Stripe Connect

Ticket sales on GatherPro are processed through Stripe, Inc. using Stripe Connect. To collect ticket revenue you must connect a Stripe account and agree to Stripe's Connected Account Agreement. GatherPro may collect a platform fee from each transaction as disclosed at the time of account setup.

Organizer Payouts

Stripe transfers collected ticket revenue to your connected Stripe account according to Stripe's standard payout schedule. GatherPro is not responsible for delays caused by Stripe or your financial institution.

Refunds

Refund policies for ticket purchases are set by each organizer. GatherPro provides tools to issue refunds through the organizer portal, but the obligation to refund attendees rests with the organizer, not GatherPro.

GatherPro and its underlying software, design, and documentation are the property of Solution Forest Ltd. and are protected by copyright and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes in accordance with these Terms. You may not copy, modify, create derivative works from, reverse-engineer, or sublicense the Service.

Your own branding, event content, and uploaded assets remain your intellectual property. You grant us a licence to host, display, and transmit that content solely to provide the Service.

You retain all rights to content you upload or create within GatherPro (event descriptions, badge designs, email templates, etc.). You represent that you own or have the necessary rights to all content you submit and that such content does not infringe any third-party rights.

We may remove content that violates these Terms or applicable law without prior notice.

On account termination you may export your data via the portal for up to 30 days. After this period we may delete your data permanently.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. You use the Service at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOLUTION FOREST LTD. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD 100).

You agree to indemnify, defend, and hold harmless Solution Forest Ltd. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your content or event data; or (d) your violation of any third-party rights.

Either party may terminate these Terms at any time. You may request account closure by contacting us at [email protected]. We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees, or engage in conduct that we reasonably believe is harmful to other users or the platform.

Upon termination all licences granted to you cease immediately. Provisions that by their nature should survive termination (including Sections 6, 8, 9, 10, and 12) shall do so.

These Terms are governed by and construed in accordance with the laws of Hong Kong Special Administrative Region. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong, without regard to conflict-of-law principles.

We may modify these Terms from time to time. We will provide at least 14 days' notice of material changes by email to the registered organizer address or by posting a prominent notice on the platform. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
